Terms of Service

1. General Provisions
- 1.1 These Terms of Service ("Terms") govern your access to and use of the software product "AI Video Search" (the "Application") and any related services (the "Services"). By using the Application, you agree to be bound by these Terms. If you do not agree, please do not use the Application.
- 1.2 The Application is provided by an individual entrepreneur (FOP) registered in Ukraine. The Application is offered under the name "AI Video Search," which has not been formally trademarked.
2. Description of the Product
- 2.1 Product Name: AI Video Search
- 2.2 Functionality: The Application is designed to search for editing scenes in video files based on a text query.
- 2.3 Unique Value Proposition: There are no known similar solutions in the market; AI Video Search is a unique and highly useful tool that dramatically reduces the time needed to locate specific video fragments.
3. Target Audience and Purpose
- 3.1 The Application is intended for professional video editors, video engineers, and possibly media holding companies.
- 3.2 The Application addresses the problem of lengthy manual searches for the desired video segments in raw footage.
4. Licensing and Payment
- 4.1 The Application is offered as a subscription service.
- 4.2 For the MVP phase, the subscription price is set at USD 2.99 per month (comparable to the price of a good cup of coffee).
- 4.3 Payments and subscription management are handled via Paddle, which also manages trial periods and billing.
- 4.4 After the trial period, subscriptions renew on a monthly basis. No refunds are provided once a monthly subscription is paid, unless otherwise dictated by Paddle's policies.
5. Intellectual Property
- 5.1 All rights, title, and interest in the Application, including any related documentation, software, and design, remain the exclusive property of the individual entrepreneur or their licensors.
- 5.2 You are granted a limited, non-exclusive, non-transferable license to use the Application in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without prior written consent.
6. Data Collection, Use, and Storage
- 6.1 The Application operates locally on your device. All user inputs (such as search queries and video file selections) and processing results are stored locally (e.g., in an SQLite database and JSON backup files) and are not transmitted to external servers.
- 6.2 Users are responsible for maintaining the security of their data and their device.
7. Limitation of Liability
- 7.1 The Application is provided "as is" and "as available." The individual entrepreneur makes no warranties regarding uninterrupted operation, accuracy, or fitness for a particular purpose.
- 7.2 To the maximum extent permitted by law, the provider shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use, or inability to use, the Application.
8. Termination
- 8.1 The provider reserves the right to suspend or terminate access to the Application for users found to be in violation of these Terms.
- 8.2 Users may discontinue the use of the Application at any time; however, any paid subscription periods are non-refundable (unless mandated otherwise by Paddle’s policies).
9. Changes to the Terms
- 9.1 The provider reserves the right to modify these Terms at any time. Changes will be posted on the Application’s website and become effective immediately upon publication.
- 9.2 Continued use of the Application following such modifications constitutes acceptance of the new Terms.
10. Governing Law and Dispute Resolution
- 10.1 These Terms are governed by the laws of Ukraine. Any disputes arising from the use of the Application shall be resolved in accordance with Ukrainian law.
- 10.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
